A Texas man pleaded guilty to insider training after he was accused of making $1.7 million in illegal profits by purchasing and selling stocks based on his wife’s work conversations, which he had overheard while she was working remotely at home, federal prosecutors said on Thursday.

The man, Tyler Loudon, of Houston, bought 46,450 shares of stock in the truck stop and travel center company TravelCenters of America after he heard his wife discuss her employer’s proposed acquisition of it, according to a complaint filed in the Southern District of Texas by the U.S. Securities and Exchange Commission.

Mr. Loudon’s wife, who is not named in court documents, was a mergers and acquisitions manager at BP, a British oil and gas company, the complaint said.

On Feb. 16, 2023, TravelCenters of America announced that it had agreed to be acquired by BP, sending its stock prices soaring by 70.8 percent.

Mr. Loudon immediately sold all of his stock, which he had bought without his wife’s knowledge, according to court documents.

“Mr. Loudon made a terrible mistake in judgment for which he has taken full responsibility,” Mr. Loudon’s lawyer, Peter Zeidenberg, said in an email.

Alamdar S. Hamdani, the U.S. attorney for the Southern District of Texas, announced on Thursday that Mr. Loudon had pleaded guilty to securities fraud. Mr. Loudon also reached a partial judgment with the S.E.C., which had filed civil charges against him. BP declined to comment.

Mr. Loudon’s wife had started to work on BP’s proposed acquisition of TravelCenters of America in early 2022, the S.E.C.’s complaint said. She and Mr. Loudon, who is employed at a publicly traded company, often worked in home offices within 20 feet of each other.

Federal prosecutors said that Mr. Loudon either knew, or was “severely reckless in not knowing,” that information he overheard or was told about BP deals was confidential.

Mr. Loudon began buying TravelCenters of America stock on Dec. 27, 2022, and over the next seven weeks, the complaint said, he “methodically” sold approximately $2.16 million in positions from his individual brokerage account and his Roth IRA to purchase more of the company’s stock.

He did not tell his wife, federal prosecutors said.

After the merger was announced publicly, the Financial Industry Regulatory Authority, a private business regulator, requested information from BP in late March 2023 about the deal, the complaint said.

Mr. Loudon’s wife told her husband that a former colleague who had worked on the acquisition had complained to her about BP’s lawyers, who were asking for personal information. Mr. Loudon asked his wife if other employees would be under similar scrutiny and she said that they would.

A week later, Mr. Loudon told his wife that he had bought shares of the stock before the acquisition, but he did not say how many shares or how much money he had made, the complaint said.

Mr. Loudon’s wife was “stunned” by this admission, according to the complaint, and told her supervisor. She was placed on administrative leave and eventually terminated.

BP reviewed Mr. Loudon’s wife’s texts and emails and found no evidence that she knowingly leaked the information or knew about her husband’s trading.

“After Loudon’s confession, Loudon’s wife moved out of their house and generally ceased all contact with Loudon,” the complaint said. Mr. Loudon’s wife initiated divorce proceedings in June 2023.

Mr. Loudon faces a maximum sentence of five years in prison and a possible maximum fine of $250,000, according to prosecutors.

Mr. Loudon also agreed in the plea agreement to forfeit his $1,763,522 profit to the United States. His sentencing is scheduled for May 17.

Meta work from office: After tech giants like Tata Consultancy Services (TCS) and Amazon mandated their employees to return to office after more than three years after the Covid-19 pandemic compelled many companies to adopt work-from-home policies, Mark Zuckerberg-led Meta Platforms Inc is the latest tech firm to call its workers back to the office.

The IT giant, that owns Facebook, Instagram, and WhatsApp, has asked that employees currently assigned to an office return to in-person work three days a week starting September 5, 2023, as per CNN report.

However, those employees of Meta who are designated as remote workers will be allowed to keep their remote status.

A Meta spokesperson, in a statement to CNN, said the company’s updated policy was not set in stone.

“We’re committed to distributed work, and we’re confident people can make a meaningful impact both from the office and at home. We’re also committed to continuously refining our model to foster the collaboration, relationships, and culture necessary for employees to do their best work,” the spokesperson said.

Earlier in March in a blog post shared with the Meta employees, CEO Mark Zuckerberg hinted at the policy change.

“Our early analysis of performance data suggests that engineers who either joined Meta in-person and then transferred to remote or remained in-person performed better on average than people who joined remotely,” said in the post.

“This requires further study, but our hypothesis is that it is still easier to build trust in person and that those relationships help us work more effectively,” he wrote.

“This analysis also shows that engineers earlier in their career perform better on average when they work in-person with teammates at least three days a week. Elon Musk faced backlash for arguing that people who worked from home were “morally wrong” because it was unfair to those who could not work remotely.

In an interview with CNBC’s David Faber on Tuesday, Mr Musk described the people working remotely as “laptop classes”, saying that the issue extended beyond productivity concerns.

He likened the concept of working from home to a quote often attributed to Marie Antoinette, the last queen of France before the French Revolution.

“I think that the whole notion of work from home is a bit like the fake Marie Antoinette quote, ‘Let them eat cake’,” Mr Musk said. “It’s not just a productivity thing. I think it’s morally wrong.”

Mr Musk criticised the hypocrisy of expecting service industry workers to go to work while others had the privilege of working from home.

“Get off the goddamn moral high horse with the work-from-home bulls**t,” he said.

“People building the cars, servicing the cars, building houses, fixing houses, making the food, making all the things that people consume. It’s messed up to assume that, yes, they have to go to work, but you don’t” he said.

“It’s not just a productivity thing, I think it’s morally wrong.”

The tech mogul has been a fierce advocate of return-to-office policies. He imposed a strict policy in Tesla in June 2022, warning employees that they would lose their jobs if they did not comply.

The policy required employees to spend a minimum of 40 hours in the office a week and anything less would be “phoning it in”.

“The laptop class is living in la-la land,” he said.

Mr Musk’s comments on work-from-home culture generated a divided response on the internet, with many lashing out at him.

“Being one of the world’s richest man, @elonmusk sounded tone deaf when he himself expects ppl to eat cake rather than share his wealth. @davidfaber just sounds like a boomer with his ‘productivity’ whining. Ppl are as productive and engaged working from home – if not more,” a Twitter user said.

Another user, Lora Kolodny, pointed to another CNBC report which said Tesla will carve out deals for “exceptional” employees amid the company’s hardline policy to return to work. The report, which cited sources, said Tesla was struggling to bring all its employees back to the office due to a lack of resources.

“Uhhh – REALLY!? Because as far as I know, Tesla and Twitter under Musk’s management will grant ‘exceptional’ employees right to work from home. Memba this?” Ms Kolodny said.

In the hour-long interview, Mr Musk also said he did not care for the consequences of his unfiltered and unabashed views on Twitter even if it meant incurring financial losses.

“I’ll say what I want to say, and if the consequence of that is losing money, so be it,” he said.

He added that Twitter will attempt to rehire some of its staff after dramatically firing employees following his controversial takeover of the microblogging platform. He acknowledged that the job cuts were too deep.

“Desperate times call for desperate measures… Unfortunately, if you do it fast, there are some babies who will be thrown out,” Mr Musk said, adding there is a possibility of rehiring people who were let go.

In a last ditch effort to get the UK government to amend its proposed Online Safety bill, Whatsapp has released an open letter. The letter outlines that the proposed bill would effectively ban messaging encryption.

The UK government sees the bill as providing extra protection for younger users online by enforcing stronger requirements for access and more stringent penalties for online platforms around underage use. However, it also calls for mandatory oversight to all elements of user interactions, which WhatsApp says would ’open the door to trying to force technology companies to break end-to-end encryption on private messaging services’.

As per WhatsApp: “Around the world, businesses, individuals, and governments face persistent threats from online fraud, scams and data theft. Malicious actors and hostile states routinely challenge the security of our critical infrastructure. End-to-end encryption is one of the strongest possible defenses against these threats, and as vital institutions become ever more dependent on internet technologies to conduct core operations, the stakes have never been higher.”

“The Bill provides no explicit protection for encryption, and if implemented as written, could empower OfCom to try to force the proactive scanning of private messages on end-to-end encrypted communication services – nullifying the purpose of end-to-end encryption as a result and compromising the privacy of all users.”

Plenty of reputable companies use door-to-door sales, including industries like telecommunications, energy, security and magazines. While they’re not selling a product, political, religious or charitable organizations often go door-to-door to talk about their cause or ask for donations.

However, less legitimate organizations can also knock on your door. Some sales people may not be properly licensed or are not selling a legitimate product. Multi-level marketing businesses sometimes recruit new employees door-to-door, and while these programs are legal, there can be a fine line between multi-level marketing and illegal pyramid or Ponzi schemes.

So, how do you know who to avoid?

The main red flags to look out for are if a salesperson is unable to verify their identity or company, uses high-pressure sales tactics or asks for immediate cash payment. These signs may be cause for concern and should prompt you to think twice before making any purchases.

Don’t be afraid to say no. Door-to-door marketing scripts are designed to keep potential customers engaged in a conversation as long as possible, but a legitimate salesperson will understand if you politely and firmly tell them you’re not interested. Ask about licensing. Many cities require door-to-door salespeople to have a peddler or solicitor license. Ask the salesperson about their license or call your city or township offices to verify.

Don’t sign on the spot. If you’re interested in a product or service, get everything in writing — including price, contract details and all terms and conditions — before you sign or purchase anything. Tell the salesperson you will review the information and follow up, and be wary of anyone who insists you decide on the spot. Verify the address and contact for the company are included and review all terms carefully before signing.

Know your rights. The Federal Trade Commission’s Cooling-Off Rule gives a customer three days to cancel purchases over $25 that are made in their home or away from the seller’s permanent business location. Salespeople should always provide a receipt and a form that customers can send to the company within three days to cancel the agreement. Law requires the company to refund customers within 10 days of receiving the cancellation notice.
